Sale and Leaseback with Indemnity

The stock of a manufacturing company was being purchased by private equity. One location was contaminated from historic operations to such an extent that the entire transaction was at risk. ERT took title of the contaminated site at the closing of the main transaction and leased the site back to the operator with a broad indemnity for pre-existing conditions.
